1. Definitions

Contractor (RU-NIC) - Joint Stock Company "RU-CENTER".

Customer - an individual or legal entity that orders the service of domain name registration or renewal, change of Registrar, or change of Administrator, and, to that end, enters into a Service Contract with RU-NIC.

Order - a request from the Customer to RU-NIC, in a form determined by RU-NIC, that contains all the data required for domain name registration or renewal, change of Registrar, or change of Administrator.

Customer's Contract Account - the set of data on the Customer's payments to RU-NIC as well as the services RU-NIC has provided to the Customer. Any payment made by the Customer is credited to their Contract Account after the money has been credited to RU-NIC's bank account, on condition that RU-NIC has received from the bank a document identifying the payment.

Terminology not defined in this Schedule is defined in the TEL Domain Name Registration Agreement.

2. General Terms and Conditions

2.1. This Schedule sets out the conditions for providing the services of registration, renewal, change of Registrar, and change of Administrator of domain names in the TEL domain.

2.2. RU-NIC fulfils its functions under contract No-18/NIC-L dated December 01, 2008 between RU-NIC and Autonomous Nonprofit Organization "Regional Network Information Center", which is a Registrar accredited by ICANN to register second-level domain names in the TEL domain under an agreement of December 10, 2008 between RU-NIC and Telnic Limited, which is the Operator of the TEL registry.

2.3. RU-NIC provides the Customer with the services of registration, renewal, change of Registrar, and change of Administrator of second-level domain names in the TEL domain. The conclusion of the Contract is preceded by the Customer's registration on RU-NIC's database. The Customer is responsible for selecting and registering individual administrative and technical passwords at the registration on RU-NIC's database, for preserving their confidentiality, and for all actions that take place as a result of using the passwords.

2.4. The ordering of services confirms the Customer's agreement to the provisions of the TEL Domain Name Registration Agreement and the procedure for its modification. The document is published on RU-NIC's web site at http://www.nic.ru/dns/contract/en/tel_reg_agr.html.

2.5. All information provided by the Customer at the registration on RU-NIC's database and conclusion of the Contract must be factual. If the Customer provides false information, the registration of the domain name may be cancelled.

2.6. The Customer agrees that the information the Customer provides by filling in forms and other documents, including those in an electronic form, in sections of these documents marked as "open", will be placed by RU-NIC on search engines and will be open to the public. A list of the information that will be made public and information that may be made public with the Customer's consent can be found on RU-NIC's web site.

2.7. The ordering of a service indicates the Customer's agreement to pay for the service at the prices current on the day the processing of the Order begins.

2.8. A service is provided to the Customer based on the Contract, so long as there is an Order for the service and all the relevant requirements of this Schedule are met.

2.9. The service of registration of a domain name is considered provided after the information about the domain name has been entered into the Registry. The Customer will be the Administrator of the domain name.

2.10. The service of renewal of a domain name is considered provided after the information about the renewal has been entered into RU-NIC's database and the Registry. The registration will be renewed for the period specified by the Customer, which must be a multiple of one calendar year, starting on the date the registration was previously set to end, the total period of registration may not exceed ten (10) years.

2.11. The service of change of Registrar (transfer of the domain name sponsorship to RU-NIC) is considered provided after the information about the domain name's Registrar in the Registry is changed to "ANO Regional Network Information Center dba RU-CENTER".

2.12. The service of change of Administrator is considered provided after the Registrant field in the domain name information on RU-NIC's database is modified.

2.13. The Customer must comply with the requirements of the "Terms of Use" document, published on RU-NIC's web site at http://www.nic.ru/about/servpol.html. The Customer agrees that the Customer may be affected by any actions taken by RU-NIC to prevent the negative effects of third party activity that impairs the operation of RU-NIC's system of service provision. In doing so, RU-NIC will adhere to the provisions of the "Terms of Use" document and will minimize such negative effects on the Customer.

3. Processing Orders for Domain Name Registration/Renewal, Change of Registrar, and Change of Administrator

3.1. The Customer will place Orders for services using RU-NIC's web interface. Order forms are provided on RU-NIC's web site www.nic.ru.

3.2. The Customer can cancel an Order on RU-NIC's web site in the "Manage your account" section ("Processing queue, order removal" link) before the processing of the Order begins.

3.3. An Order is considered ready for processing and will be processed if the Customer has in their Contract Account sufficient funds to pay for all services contained in the Order. If this condition is not met within three (3) months from the day RU-NIC receives the Order, the Order will be cancelled.

3.4. RU-NIC will process Orders for the same service (all ready for processing) from different Customers on a first-come basis.

3.5. RU-NIC will fulfil Orders on a first-come basis. The sequence in which Orders are fulfilled can be changed on RU-NIC's web site in the "Manage your account" section ("Orders", "Processing queue, order removal" link).

3.6. Orders for renewal of any services that require immediate freezing (reservation) of funds in the Contract Account for the renewal have a higher processing priority than Orders for new services and Orders for change of Registrar and/or Administrator from the same Customer.

4. Domain Name Renewal

4.1. RU-NIC automatically generates Orders for domain name renewal for one (1) calendar year. RU-NIC will notify the Customer of the need to renew domain name registration via the standard communication channel two (2) months before the registration expires, so long as the Customer has not cancelled the renewal.

4.2. The Customer can at any time place an Order for renewal of a domain name for any period that is a multiple of one (1) calendar year; the total period of registration may not exceed ten (10) years. Orders for this service are placed via RU-NIC's web site in the "Manage your account" section ("Renew services" link).

4.3. RU-NIC will renew a domain name as long as there is an Order for the renewal and sufficient money in the Customer's Contract Account to pay for the renewal service, and the Customer has not cancelled the renewal.

4.4. The Customer may cancel a domain name renewal before the renewal service is provided. Renewals are cancelled on RU-NIC's web site in the "Manage your account" section ("Renew services" link). Any renewal cancellation can later be reversed within thirty (30) calendar days from the date its registration expires before the registration of the domain name is removed from RU-NIC's database and cancellation process is initiated in the Registry or before the domain name is transferred to RU-NIC or another party as to the domain name administrator according to par. 4.6 of this Schedule.

4.5. The absence of cancellation of a domain name renewal indicates the Customer's agreement to the provision of the renewal service and to the Customer's Contract Account being debited for the renewal. The Contract Account will be debited in accordance with par.5 of this Schedule.

4.6. If the domain name has not been renewed by the Customer in the time frame defined by this Schedule, the Customer agrees that he can lose the rights for the domain and RU-NIC has the right to initiate the cancellation process for such domain in the Registry or to transfer the rights for the domain to RU-NIC or another party under the procedure established by RU-NIC and available on RU-NIC's web-server.

4.7. A domain name, for which the RU-NIC has initiated the cancellation process in the Registry, can be redeemed upon the Customer request providing that the below conditions are met:

4.7.1. A domain name redeeming with concurrent 1 year renewal is made upon the formal letter from the Customer to RU-NIC, providing that RU-NIC receives the letter within twenty five (25) calendar days after the cancellation process for the domain name was initiated in the Registry and there's sufficient money in the Customer's Contract Account to pay for the service of a domain name redeeming and the service of a domain name renewal for one (1) year. The letter form is provided on RU-NIC's web site.

4.7.2. Upon the receipt of formal letter from the Customer and providing that there's sufficient money in the Customer's Contract Account to pay for the service of a domain name redeeming and the service of a domain name renewal for one (1) year, RU-NIC takes the necessary steps for the domain name redeeming and renewal within two (2) business days and notifies the Customer.

4.7.3. RU-NIC will work for domain redeeming providing that the Customer adhere to the rules described above. If the domain can not be redeemed the sum paid by the Customer for domain name redeeming service will be returned to the Customer account.

5. Payment for Services. Debit for Services from the Customer's Contract Account

5.1. The costs of services are set out in Appendix 2 to the Service Contract.

5.2. In order for RU-NIC to generate an invoice, RU-NIC must receive the Customer's request for the invoice. Invoices are requested via RU-NIC's web site in the "Manage your account" section. The original of the invoice will be sent to the Customer by post:

- if the Customer is an organization or a registered entrepreneur - not later than three (3) working days after RU-NIC receives the Customer's request for the invoice;
- if the Customer is an individual - at the Customer's request.

The Customer can print copies of invoices from the "Manage your account" section of RU-NIC's web site.

5.3. When making a payment, the Customer must indicate the number of their Contract with RU-NIC on the payment documents.

5.4. Debit for services from the Customer's Contract Account

5.4.1. RU-NIC keeps track of the Customer's payments and the services provided to the Customer, based on the current rates for services, using the Customer's Contract Account. Any payment made by the Customer is credited to their Contract Account after the money has been credited to RU-NIC's bank account, on condition that RU-NIC has received from the bank a document identifying the payment.

The Customer can access the information of their Contract Account on RU-NIC's web site in the "Manage your account" section ("Contract", "Account balance" link).

5.4.2. Before RU-NIC provides a service to the Customer, funds are frozen (reserved) in the Customer's Contract Account to pay for the service. Frozen funds cannot be used to pay for other services.

The Customer may cancel reservation of funds in the Contract Account only if the funds are frozen for renewal of a service. Reservation can be cancelled by cancelling the service renewal before the payment for the renewal is debited from the Contract Account. Service renewals can be cancelled on RU-NIC's web site in the "Manage your account" section ("Renew services" link).

5.4.3. Reservation of funds in the Customer's Contract Account

5.4.3.1. Funds for the services of domain name registration, renewal, change of Registrar, and change of Administrator are frozen in the sequence in which RU-NIC receives corresponding Orders.

5.4.3.2. When the Customer places several Orders for domain name renewal, renewal funds will be frozen in the sequence in which the registration of the respective domain names expires (funds for renewal of a domain name whose registration expires first are frozen first).

5.4.3.3. Funds for a domain name renewal will be frozen in the Customer's Contract Account no earlier than eight (8) calendar days before the domain name registration expires, so long as the Customer has not cancelled the renewal.

5.4.4. The Customer's Contract Account is debited for a domain name renewal within one day after the Customer's Order for the renewal is received or, in the event the Customer has not cancelled the renewal, no earlier than one (1) calendar day before the domain name registration expires.

5.5. The unused balance of the Customer's Contract Account will be refunded, by bank transfer to the Customer's bank account at any bank resident in the Russian Federation, on termination of the Contract or in the event the Customer provides reasons for their inability to use RU-NIC's services. RU-NIC will take steps to complete the refund within seven (7) working days from the day the Customer submits a written request for the refund with the full bank details of the recipient.

6. Change of Domain Name Information

Domain name information - information about a domain name that is entered into the Registry at the domain name registration (details of the Administrator, administrative, technical and billing contacts, and the DNS servers).

6.1. Domain name information can only be modified after the Order for registration of the domain name has been successfully completed.

6.2. Details of contacts are modified via the "Manage your account" section of RU-NIC's web site. Modification procedure:

- log into the section "Manage your account";
- select "Review and update data" in the "Services" menu;
- find the service;
- choose the necessary link on the column "Modify parameters";
- make necessary changes;
- save the changes.

Any changes of contacts in RU-NIC's database and in the Registry will come into effect within one (1) hour from the moment they are made.

6.3. Details of the Administrator of a domain name can be modified by making appropriate changes in RU-NIC's database:

contact details - in the Registrant object,
identification details - in the Customer's Contract with RU-NIC.

6.3.1. Modification of the Administrator's contact details in the Registrant object

The Administrator's contact details include: telephone number, fax number, e-mail addresses, and postal address. Changes can be made via the "Manage your account" section of RU-NIC's web site.

Modification procedure:

- log into the section "Manage your account";
- find the Registrant object in the "Whois Contacts" menu;
- click on "Modify" in the column "Information about object";
- make necessary changes;
- save the changes.

If a Registrant is a natural person, he may make his identification data concealed from public in search engines. If such, field "Registrant name" in search engines will display Administrator Name and Surname.

To enable "Whois opt out" option, the user will be required to:

- enter the "Manage your account" section at www.nic.ru;
- in "Services" select "Review and update data";
- choose the service (Domain name registration);
- in "Whois-contacts" select "Modify";
- tick "Whois opt out";
- save changes.

Any changes of the Administrator's contact details will come into effect within one (1) hour from the moment they are made.

6.3.2. Modification of the Customer's identification details in the Contract

The Customer's identification details include: organization name, legal address, taxpayer identification number, first, middle and last names, passport details, and date of birth. The Customer can modify identification details by sending a formal letter to RU-NIC. The letter form is provided on RU-NIC's web site.

The Customer's identification details in the Contract will be changed within two (2) working days from the moment RU-NIC receives the Customer's letter.

7. Procedure for Change of Domain Name Administrator

7.1. On the basis of a formal letter from the Administrator of a domain name to RU-NIC, the rights to the domain name can be transferred to another legal entity or individual, as long as the letter meets rules and requirements published at RU-NIC web-site and there is an Order for the service of change of Administrator and sufficient money in the Customer's Contract Account to pay for the service. The letter form is provided on RU-NIC's web site.

7.2. When RU-NIC receives a formal letter from the Administrator of a domain name requesting transfer of the domain name to another person, as well as a notification in the form set by RU-NIC from that person confirming their intention to become the domain name Administrator, RU-NIC will, within two (2) working days, take the necessary steps for the domain name transfer and notify the previous and new Administrators of this, as long as the service has been paid. At RU-NIC's discretion this term could be extended till 30 calendar days.

7.3. RU-NIC has the right to nullify the domain name ownerchange providing that RU-NIC has sufficient cause for it.

8. Procedure for Change of Registrar

8.1. The conditions for transfer of domain name from or to another Registrar are set out in par. 8.3 of the TEL Domain Name Registration Agreement.

8.2. Transfer of domain name sponsorship to RU-NIC from another Registrar

8.2.1. Transfer of domain name sponsorship to RU-NIC is performed on the basis of an Order for the service of change of Registrar, so long as there is sufficient money in the Customer's Contract Account to pay for the service. Forms for placing Orders are provided on RU-NIC's web site at www.nic.ru.

Change of the domain name's Administrator performed simultaneously with the domain name transfer is done by sending a formal letter from the Administrator to RU-NIC. The letter form is provided on RU-NIC's web site.

8.2.2. RU-NIC does not guarantee the success of any change of Registrar. If the service of change of Registrar is not provided for any reason, the funds reserved in the Customer's Contract Account to pay for the service will be unfrozen.

8.2.3. After processing of the Order begins, RU-NIC will request confirmation of the domain name transfer from the Administrator indicated in the current Registrar's whois data. The request will be sent to the Administrator's contact e-mail addresses specified in the domain name's whois data.

If RU-NIC receives the Administrator's agreement to the domain name transfer, RU-NIC will initiate the change of the Registrar in the Registry.

In the event of the Administrator's refusal to the domain name transfer or absence of response within five (5) days, the Order will be cancelled. RU-NIC will give the Customer notice of cancellation (due to the inability to fulfil the Order) within two (2) working days from the cancellation date.

8.2.4. When the Registry receives the RU-NIC's request for change of Registrar, the Registry will send a request to the current Registrar of the domain name. Based on the current Registrar's response, the Registry will make its decision and inform RU-NIC about it. The process of change of Registrar in the Registry may last for up to seven (7) calendar days.

If the Registry makes a positive decision, RU-NIC will, as a result of the change of Registrar, become the domain name's Registrar, the registration period will be extended by 1 calendar year from the date the registration was previously set to end; the total registration period may not exceed ten (10) years. When the domain name's registration expires, RU-NIC will undertake its renewal in the Registry in accordance with par. 4 of this Schedule.

In the event of the Registry's refusal to change the Registrar, RU-NIC will notify the Customer of the Registry's decision within two (2) working days from the moment the processing of the Order ends.

8.3. Transfer of domain name sponsorship from RU-NIC to another Registrar

When RU-NIC is notified by the Registry of the initiation of change of Registrar, RU-NIC will send a request to the Administrator's contact e-mail address specified in RU-NIC's database. The Administrator must respond to RU-NIC's request for the domain name transfer within four (4) calendar days from the moment of the initiation of change of Registrar in the Registry.

In the event of the Administrator's refusal, RU-NIC will give the Registry notice of refusal to transfer the domain name to the other Registrar.

Upon the Registrar's agreement, RU-NIC will give the Registry notice of agreement to transfer the domain name to the other Registrar.

In the absence of the Administrator's response within the period set by RU-NIC (four (4) calendar days), RU-NIC will not respond to the Registry's request and, after five (5) calendar days from the day the Registry's request is sent to RU-NIC, the Registry will transfer the domain name sponsorship to the other Registrar.

9. Transfer from RU-NIC to RU-NIC's Partner. Change of Partner. Transfer from Partner to RU-NIC

9.1. The Customer may receive RU-NIC's services from RU-NIC's Partner.

9.2. The duties to assist in the registration and renewal of the Customer's domain names from RU-NIC to RU-NIC's Partner can be transferred by submitting an formal letter or by submitting request using RU-NIC's web-server, the "Manage your account" section ("Transfer to partner" link).

9.3. When RU-NIC receives the letter, it will, within two (2) working days, take the necessary steps to transfer the duties mentioned in par. 9.2.

When RU-NIC receives the request submitted via RU-NIC's web interface, it will, within one (1) hour from the moment of receipt request, take the necessary steps to transfer the duties mentioned in par. 9.2.

RU-NIC notifies the Customer and the Partner about changes via the standard communication channels.

9.4. From the moment the duties mentioned in par. 9.2 are transferred from RU-NIC to another person, the contractual relationship between RU-NIC and the Customer is temporarily ceased. The relationship may be resumed at the Customer's special request, which must be in a form determined by RU-NIC.
